Welcome to Ultra Pure Bioscience.

These Terms & Conditions (“Terms”) govern the use of https://ultrapurebioscience.org/, account registration, access to restricted research materials, and purchases made through this website.

Ultra Pure Bioscience is operated by Ultra Pure Bioscience, a company registered in Ontario, Canada (collectively referred to as “Ultra Pure Bioscience,” “Company,” “we,” “our,” or “us”).

By creating an account, accepting these Terms, or submitting an order, you acknowledge that you have read, understood, and agreed to these Terms and the policies incorporated by reference.

If you do not agree, you must not place an order.

1.Eligibility & Researcher Verification

Customers must be at least twenty-one (21) years of age to create an account, access restricted product information, or purchase research materials.

Registration and access to the product catalog are subject to acceptance of the required research-use declarations.

By registering or purchasing, you represent and warrant that:

1. You are at least 21 years of age.
2. You are legally permitted to acquire and possess the requested materials.
3. Your intended purchase is exclusively for lawful laboratory, analytical, or scientific research.
4. You understand the restrictions against human and veterinary use.
5. You possess, or will obtain, the appropriate training, facilities, and supervision for safe laboratory handling.
6. The information supplied during registration and checkout is truthful, accurate, and complete.

Ultra Pure Bioscience reserves the right to request additional documentation relating to purchasing eligibility, research purpose, identity, or institutional affiliation when reasonably necessary.

Account approval does not guarantee product availability, regulatory authorization, or acceptance of future orders.

2.Research Use Only — Product Restrictions

All research materials offered through Ultra Pure Bioscience are intended strictly for lawful, nonclinical research activities.

Products must not be purchased, used, transferred, marketed, or distributed for:

1. Human or veterinary consumption, injection, or administration.
2. Personal, medical, clinical, diagnostic, or therapeutic use.
3. Weight management, bodybuilding, performance enhancement, or cosmetic application to humans or animals.
4. Compounding or preparation of medications for unauthorized human or veterinary use.
5. Unauthorized commercial resale or distribution.
6. Any purpose prohibited by applicable federal, state, provincial, or international law.

Ultra Pure Bioscience does not authorize or endorse activities outside the stated lawful research purposes.

We may suspend accounts, cancel pending orders, or restrict further transactions where credible evidence indicates an intended prohibited use.

3.FDA, Health Canada & Regulatory Disclosure

For research use only — not for human or veterinary use.

Research materials are not represented as FDA-approved or Health Canada-authorized medications or treatments.

Statements concerning these research materials have not been evaluated by the U.S. Food and Drug Administration (FDA).

Products are not intended to diagnose, treat, cure, mitigate, or prevent disease, or to be administered to humans or animals.

Information on this website is supplied for scientific identification, analytical reference, and research-related purposes.

No product description, technical document, or other website content constitutes medical advice, prescribing guidance, dosage instructions, or authorization for clinical use.

Research-use labeling and customer declarations do not exempt products or transactions from applicable drug, chemical, import, export, or other regulatory laws.

Ultra Pure Bioscience reserves the right to withhold, restrict, discontinue, or withdraw any product where necessary to meet applicable legal, safety, or regulatory requirements.

4.Customer Representations & Laboratory Responsibilities

Customers are responsible for ensuring their intended research activities comply with applicable law.

By purchasing research materials, customers agree to:

1. Follow relevant laboratory safety procedures and applicable technical documentation.
2. Maintain appropriate storage, security, handling, and disposal practices.
3. Prevent access by unauthorized individuals.
4. Obtain any licenses, permits, or approvals required for their activities.
5. Comply with applicable federal, state, local, import, and export requirements.
6. Refrain from transferring materials for any prohibited application.

Customers are responsible for losses resulting from their unlawful or unauthorized actions to the extent permitted by applicable law.

Nothing in this section removes Ultra Pure Bioscience's own statutory or regulatory responsibilities.

5.Product Specifications & Certificates of Analysis

Ultra Pure Bioscience aims to provide accurate product identification, technical specifications, and appropriate analytical documentation.

Product information may include chemical identity, CAS registry number, molecular weight, declared purity, lot identification, analytical methods, and storage conditions.

Where a product is offered with a Certificate of Analysis (COA), the document must accurately correspond to the stated product and lot.

Products subject to our independent-testing requirements must have current, lot-specific supporting documentation before being offered for sale.

Analytical results describe the scope and findings of the identified tests. They do not establish suitability for human or veterinary administration or guarantee any particular research result.

Products are not represented as sterile, endotoxin-free, pharmaceutical grade, or suitable for clinical use unless an expressly stated specification is supported by appropriate documentation. No such specification authorizes a prohibited use.

Ultra Pure Bioscience may correct documentation errors, update technical information, or withdraw inventory affected by quality-control concerns.

6.Order Acceptance & Right of Refusal

Submission of an order constitutes a request to purchase. An automated order acknowledgment does not necessarily constitute acceptance.

Ultra Pure Bioscience may review, hold, limit, refuse, or cancel an order for legitimate business, security, or compliance reasons, including:

1. Suspected fraudulent or unauthorized transactions.
2. Inaccurate or incomplete customer information.
3. Unverified research eligibility or purchasing purpose.
4. Suspected human or veterinary use.
5. Unauthorized resale or distribution concerns.
6. Product unavailability or quality-documentation issues.
7. Import, export, shipping, or regulatory restrictions.
8. Payment verification failures.
9. Material violations of these Terms.

We may request reasonable additional verification before fulfillment.

If we are unable to fulfill an accepted order, any captured payment for the unfulfilled portion will be refunded as required by applicable law.

We may restrict order quantities or decline future transactions for legitimate compliance, security, or operational reasons, subject to applicable law.

7.Account Registration, Security & Suspension

Customers must maintain accurate account information and protect their login credentials.

Account access must not be transferred or shared with unauthorized individuals.

Customers must promptly notify Ultra Pure Bioscience of suspected unauthorized access or fraudulent account activity.

We reserve the right to suspend, restrict, or terminate an account where reasonably necessary to address fraud, security concerns, unlawful activity, regulatory risks, or material violations of these Terms.

Outstanding orders, payments, and customer records will be handled according to applicable laws and our published policies.

8.Pricing, Currency & Payment Processing

All prices, charges, and transactions are displayed in United States Dollars (USD) unless expressly stated otherwise.

Ultra Pure Bioscience uses authorized third-party payment providers to process transactions.

For payments handled under the applicable Merchant Core processing arrangement, the billing descriptor may appear as PEPTIDE SHOP.

Customers must review the final order total and payment information before authorizing a transaction.

Exchange rates or international transaction fees may be imposed by the customer's financial institution and are outside our control.

Ultra Pure Bioscience may correct pricing errors before accepting an order. Where a pricing correction affects an existing order, the customer will be notified and given an appropriate option to accept the corrected amount or cancel.

Payment authorization does not guarantee order acceptance or fulfillment.

9.Order Modifications & Cancellations

Customers are responsible for reviewing product selection, quantities, delivery information, and payment details before checkout.

Requests to change or cancel an order should be submitted promptly.

Once fulfillment, packaging, or shipment preparation has begun, voluntary changes or cancellations may no longer be available.

Approved voluntary cancellations may be resolved through store credit where permitted by our Returns & Refunds Policy and applicable law.

Store credit will not replace a monetary refund where a refund to the original payment method is legally required.

Ultra Pure Bioscience reserves the right to cancel orders that cannot be lawfully or reasonably fulfilled.

10.Returns, Refunds & Product Integrity

Because laboratory research materials require appropriate handling, storage, traceability, and quality control, sales are generally final once fulfillment begins, except where a return, refund, replacement, or other remedy is required by law or expressly permitted under our Returns & Refunds Policy.

Voluntary returns may be declined when:

1. Product packaging has been opened or altered.
2. Safety or tamper-evident seals have been broken.
3. Materials have been reconstituted, modified, or used.
4. Required storage conditions cannot reasonably be verified.
5. Product identity or integrity cannot reasonably be established.
6. The request falls outside the applicable voluntary return policy.

Customers are requested to report damaged, incorrect, or missing items within seven (7) days of confirmed delivery to facilitate timely investigation.

This requested reporting period does not eliminate applicable statutory rights or remedies.

We may request reasonable supporting information, including photographs, order records, packaging details, and delivery documentation.

Returns should not be shipped without instructions from customer support unless applicable law provides otherwise.

Eligible refunds will be processed in accordance with our Returns & Refunds Policy, applicable laws, and payment-network requirements.

Where required by law, refunds will be returned to the original payment method.

11.Shipping & Delivery

Ultra Pure Bioscience arranges shipments through available carriers, which may include UPS, DHL, FedEx, or other authorized shipping providers.

Processing and delivery estimates are subject to product availability, payment verification, carrier operations, and applicable regulatory requirements.

Customers are responsible for supplying complete and accurate delivery information.

Ultra Pure Bioscience is not responsible for delays solely caused by circumstances beyond its reasonable control, to the extent permitted by law.

Shipping-related issues may include carrier delays, incorrect delivery details, weather events, customs inspections, and transportation interruptions.

If shipment cannot occur within an applicable promised or legally required period, we will provide the required notification, cancellation options, and refunds.

Risk of loss and responsibility for damaged or missing shipments will be determined by applicable law and the relevant shipping arrangements.

12.United States Shipping, Import & Regulatory Requirements

Ultra Pure Bioscience is registered in Ontario, Canada, and supplies eligible customers in the United States where the requested transaction and shipment are legally permitted.

All shipments are subject to applicable Canadian export requirements and U.S. federal, state, customs, and import regulations.

The availability of a product for selection on our website does not establish that it is lawful for importation into every U.S. jurisdiction.

Where applicable, shipments may require accurate customs declarations, product classifications, supporting documentation, permits, or regulatory authorizations.

The importer of record and the responsibilities of each party will be determined by the applicable transaction documents and governing law.

Customers are responsible for obligations lawfully assigned to them, including providing accurate recipient information and cooperating with required import documentation.

Ultra Pure Bioscience remains responsible for legal obligations applicable to it as the seller or exporter.

We may refuse or cancel orders where required authorizations are unavailable or legal admissibility cannot be established.

We will not knowingly misclassify products or provide inaccurate customs declarations to facilitate shipment.

Import-related delays, refusals, seizures, or restrictions will be addressed in accordance with applicable law and our published shipping and refund policies.

13.Taxes, Duties & Additional Charges

Product prices are displayed in USD.

Applicable sales taxes, shipping charges, and other known checkout fees will be disclosed before payment authorization.

Where applicable, import duties, customs charges, brokerage fees, and other government-imposed charges may apply.

Responsibility for such charges will be determined by the disclosed shipping terms, applicable transaction arrangements, and governing law.

Ultra Pure Bioscience will comply with applicable obligations to collect, remit, or disclose taxes and charges for which it is legally responsible.

14.Disclaimer of Warranties

To the maximum extent permitted by applicable law, research materials are supplied subject to their expressly stated product specifications and all mandatory legal warranties.

Ultra Pure Bioscience does not warrant that any material will:

1. Produce a particular experimental or analytical result.
2. Be suitable for a customer's specific research objective.
3. Perform beyond its expressly stated specifications.
4. Remain suitable following improper storage, handling, or modification.
5. Be appropriate for unauthorized medical, clinical, human, or veterinary applications.

Except for expressly stated specifications and warranties that cannot lawfully be excluded, other implied warranties are disclaimed to the extent permitted by law.

Nothing in this section excludes liability for material misrepresentation, nonconforming goods where statutory remedies apply, or other non-waivable legal obligations.

15.Limitation of Liability

To the fullest extent permitted by applicable law, Ultra Pure Bioscience, its directors, officers, employees, agents, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from:

1. Unlawful or unauthorized use of research materials.
2. Improper handling, storage, transfer, or application.
3. Unsuccessful or unintended research outcomes.
4. Customer-provided inaccurate information.
5. Interruptions caused by third-party services outside our reasonable control.
6. Customer violations of these Terms or applicable laws.

Where legally enforceable, aggregate contractual liability arising from a particular product order will be limited to the amount paid for the affected products.

This limitation does not apply to claims or liabilities that cannot legally be excluded or limited, including applicable liability for fraud, willful misconduct, personal injury, or statutory violations.

Nothing in these Terms removes mandatory rights or remedies under applicable law.

16.Customer Indemnification

To the extent permitted by applicable law, customers agree to defend, indemnify, and hold harmless Ultra Pure Bioscience, its directors, officers, employees, agents, and affiliates against third-party claims, losses, liabilities, and reasonable legal expenses arising from:

1. The customer's material violation of these Terms.
2. Unlawful use or unauthorized application of research materials.
3. Prohibited human or veterinary administration.
4. Unauthorized resale, transfer, or distribution.
5. Materially false purchasing or research declarations.
6. Fraudulent activity or violation of applicable laws.

The indemnification obligation applies only to the extent the claim results from the customer's conduct.

It does not require indemnification for the Company's own unlawful acts, liability that cannot legally be shifted, or other matters excluded by applicable law.

17.Intellectual Property

Unless otherwise stated, original website content, branding, product descriptions, photographs, graphics, and other protected materials are owned by or licensed to Ultra Pure Bioscience.

Third-party scientific publications, trademarks, and analytical documents remain subject to the rights of their respective owners.

Unauthorized commercial copying, modification, reproduction, distribution, or exploitation of protected content is prohibited except where permitted by law or written authorization.

18.Prohibited Website Activities

Users must not:

1. Provide false or misleading account information.
2. Attempt unauthorized access to website systems.
3. Interfere with website security or operations.
4. Submit fraudulent payment information.
5. Misrepresent purchasing or research eligibility.
6. Engage in unlawful resale or distribution.
7. Represent products as authorized for prohibited human or veterinary applications.
8. Use the website for activities that violate applicable law.

We may restrict account access, decline transactions, or pursue appropriate legal remedies for material violations.

Nothing in this section prohibits customers from making legitimate complaints, requesting refunds, contacting regulators, or disputing transactions in good faith.

19.Regulatory Changes, Product Restrictions & Safety Actions

Ultra Pure Bioscience may restrict, discontinue, recall, or suspend products when required by applicable law or reasonably necessary due to quality-control findings, safety concerns, or regulatory developments.

Where required, we may notify affected customers and cooperate with relevant regulatory authorities.

Orders affected by regulatory restrictions or product withdrawal will be handled in accordance with applicable law and our published policies.

Nothing in these Terms excludes mandatory product safety, reporting, recall, or other regulatory obligations.

20.Privacy & Customer Information

Customer information may be collected and processed for account administration, research eligibility review, payment processing, order fulfillment, fraud prevention, customer support, and legal compliance.

Information may be shared with authorized payment providers, shipping carriers, service providers, or public authorities where permitted or required by law.

Our Privacy Policy explains the handling, security, retention, and disclosure of personal information.

Customers should review the Privacy Policy before submitting personal information.

21.Force Majeure

To the extent permitted by applicable law, Ultra Pure Bioscience will not be responsible for delays or failures in performance caused by extraordinary circumstances beyond its reasonable control.

These may include natural disasters, severe weather, government restrictions, regulatory actions, public emergencies, transportation disruptions, labor disputes, and material supply-chain interruptions.

We will take commercially reasonable measures to address affected orders.

This provision does not eliminate legally required refunds, notices, or other mandatory obligations.

22.Governing Law & Jurisdiction

Ultra Pure Bioscience operates as a business registered in the Province of Ontario, Canada.

To the extent permitted by applicable law, these Terms and disputes arising from them will be governed by the laws of Ontario and the applicable federal laws of Canada, without giving effect to conflict-of-laws principles that would require the application of another jurisdiction's laws.

For business-to-business disputes, the parties submit to the jurisdiction of the courts located in Ontario, Canada, subject to any overriding legal requirements.

This provision does not exclude mandatory protections under applicable U.S. federal or state law, nor does it prevent a customer from bringing a claim in a forum that applicable law makes available and does not permit the customer to waive.

No provision authorizes the sale, export, import, or distribution of a product prohibited by applicable law.

23.Dispute Resolution

Customers are encouraged to contact Ultra Pure Bioscience promptly regarding billing, fulfillment, product, or contractual concerns.

The parties may attempt to resolve disputes through good-faith communication.

Where mutually agreed after a dispute arises, the parties may use mediation or another lawful dispute-resolution procedure.

These Terms do not impose mandatory pre-dispute arbitration or a class-action waiver.

Nothing in this section restricts lawful payment disputes, statutory complaints, regulatory reports, or access to courts where such rights cannot be waived.

24.Severability & No Waiver

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be limited or severed to the extent permitted by law.

The remaining provisions will continue in effect where legally enforceable.

A failure by Ultra Pure Bioscience to enforce a provision on one occasion does not constitute a permanent waiver of its right to enforce that provision in the future.

25.Entire Agreement

These Terms, together with our Privacy Policy, Research Use Policy, Returns & Refunds Policy, Credits Disclosure, and applicable order-specific terms, constitute the agreement governing website access and purchases.

Any applicable separately executed written agreement will also form part of the contractual relationship according to its terms.

Nothing in this section excludes mandatory consumer rights or representations that cannot legally be disclaimed.

26.Amendments & Policy Updates

Ultra Pure Bioscience may revise these Terms to reflect business, regulatory, technical, or operational changes.

Updated Terms will be published with a revised effective date.

Changes will ordinarily apply prospectively and will not retroactively remove rights attached to previously accepted orders.

Customers may be required to accept revised Terms before placing additional orders.

27.Acceptance & Electronic Agreement

By registering an account, accepting the required research-use declarations, or placing an order, you confirm that:

1. You meet the minimum age requirement.
2. You are acquiring the materials for lawful laboratory, analytical, or scientific research only.
3. You understand the restrictions against human and veterinary administration.
4. You have reviewed the applicable product information, prices, payment terms, and company policies.
5. Your purchasing declarations are accurate.
6. You agree to comply with these Terms and applicable laws.

By confirming an order, you authorize the disclosed payment amount and agree to the applicable contractual terms, subject to all mandatory legal rights.

Electronic acceptance records may be retained in accordance with our Privacy Policy and applicable law.
